Please read these terms and conditions ("Terms") carefully before using the THERCOM application ("App"). These Terms constitute a legally binding agreement between you ("User" or "you") and V-Lab Ltd. ("Company," "we," or "us"). By using the THERCOM App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the THERCOM App.

1. App Purpose
1.1 The THERCOM App is designed to allow Users to remotely control and adjust the temperature settings of their building energy systems by expressing their preferred thermal comfort conditions. Such functionality is provided optionally, in addition to the basic functions to read and display indoor conditions, through a subscription plan ("Subscription Plan"). Details regarding the Subscription Plan, including its cost and duration, will be made available to users within the App.
1.2 The THERCOM App is provided for informational and convenience purposes only. The Company does not guarantee the accuracy, reliability, or availability of the App's content and features.

2. User Responsibilities
2.1 By using the THERCOM App, you represent that you are at least 18 years old or have obtained the necessary consent from a parent or legal guardian.
2.2 You agree to provide accurate and up-to-date information during the registration process and to keep your account credentials secure.
2.3 You are solely responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
2.4 Users who choose to subscribe to the Subscription Plan are responsible for the timely payment of any applicable fees or charges associated with the plan. 2.5 You shall not use the THERCOM App in any way that violates applicable laws, regulations, or the rights of others.
2.6 You acknowledge that you are entitled to install and control the needed devices supported by the App.
2.7 You acknowledge that the Company may collect certain data, such as your temperature/thermal comfort preferences and usage patterns, to improve the App's functionality and provide personalised services. Please refer to our Privacy Policy for more information on data collection and usage.

3. Intellectual Property Rights
3.1 The THERCOM App, including its design, features, and content, is protected by intellectual property laws and is the property of the Company.
3.2 You are granted a limited, non-exclusive, non-transferable license to use the THERCOM App for personal, non-commercial purposes. Users who subscribe to the Subscription Plan are granted a limited, non-exclusive, non-transferable license to access and use the additional features provided under the plan. You shall not modify, distribute, reproduce, or create derivative works based on the App without the Company's prior written consent.

4. Limitation of Liability
4.1 The THERCOM App is provided on an "as-is" and "as available" basis. The Company makes no warranties or representations, express or implied, regarding the App's functionality, accuracy, or reliability.
4.2 To the maximum extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or inability to use the THERCOM App.
4.3 The Company disclaims any liability for any loss, damage, or injury resulting from unauthorised access to or alteration of your transmissions or data.

5. Termination
5.1 The Company reserves the right to suspend or terminate your access to the THERCOM App at any time and for any reason, without prior notice.
5.2 You may terminate your use of the App by discontinuing its usage and deleting your account.
5.3 Users who subscribe to the Subscription Plan may terminate their subscription by following the cancellation procedure provided within the App. Termination of the Subscription Plan will not automatically terminate your access to the basic features of the THERCOM App.
5.4 Sections 3, 4, 6, and 7 of these Terms shall survive the termination of your use of the THERCOM App or the Subscription Plan.

6. Indemnification
You agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, or expenses arising out of or related to your use of the THERCOM App or any violation of these Terms.

7. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of UK. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England.

8. Modifications
The Company reserves the right to modify or update these Terms at any time. Any changes will be effective upon posting the updated Terms on the THERCOM App. Your continued use of the App after such modifications constitutes your acceptance of the revised Terms.
